Important intermediary notice: Jeshra Tech Solutions is a trade name of Jeshra LLC. It acts solely as an introducer and intermediary — a “middleman” for commercial introductions. It does not itself develop, deliver, host, maintain or support software or AI services. All such services are supplied by independent third-party providers under separate written agreements made directly between the client and the provider. Jeshra Tech Solutions is not a party to those provider agreements, holds no client assets, funds, data, source code or intellectual property, and assumes no responsibility or obligation for the provider’s performance.
1. Who we are
Jeshra Tech Solutions is a trade name of Jeshra LLC, a New Jersey limited liability company. It is not a separate company or a new LLC. References in these Terms to “Jeshra Tech Solutions,” “we,” “us” or “our” mean Jeshra LLC doing business as Jeshra Tech Solutions.
2. Intermediary role only
Jeshra Tech Solutions markets technology and AI service categories, discusses prospective business needs, qualifies enquiries, helps frame an initial requirement and introduces prospective clients to one or more independent third-party technology providers.
Jeshra Tech Solutions does not itself:
- develop, code, configure or test software;
- provide AI models, platforms, hosting, data processing or managed services;
- maintain, operate or technically support any delivered solution;
- employ or control the provider’s personnel; or
- guarantee a provider’s availability, capacity, timeline, price, quality or outcome.
3. Separate direct provider contracts
Any software, AI, cloud, testing, data, automation, maintenance or support services are provided solely by an independent third-party provider. The scope, price, payment terms, service levels, warranties, intellectual-property terms, confidentiality obligations, data obligations, support and remedies for those services are governed exclusively by the separate written agreement concluded directly between the client and that provider.
Jeshra Tech Solutions is not a party, guarantor, subcontractor, agent for delivery, or joint obligor under a client-provider agreement. No statement on this website creates a delivery obligation for Jeshra Tech Solutions.
4. No client assets or obligations
Jeshra Tech Solutions does not receive, hold, control or safeguard client money, funds, property, credentials, production data, personal data, source code, documentation or intellectual property in connection with provider-delivered services. Payments for provider services and all project materials are exchanged directly between the client and the provider unless a separate signed written agreement with Jeshra LLC expressly states otherwise.
Jeshra Tech Solutions assumes no obligation for a provider’s performance, non-performance, delay, defect, downtime, support response, data handling, security, legal compliance or insolvency.
5. No agency, partnership or employment with providers
An introduction or referral arrangement does not make Jeshra Tech Solutions and any provider partners, joint venturers, employer and employee, or general agents of one another. Neither Jeshra Tech Solutions nor a provider may bind the other except as expressly stated in a signed written agreement between them. Jeshra Tech Solutions has no authority to accept a provider’s proposal, amend a provider’s terms, receive provider payments on its behalf, or make delivery commitments for a provider.
6. Referral commission
Jeshra Tech Solutions may receive a referral commission or other fee from a provider under a separate partner or referral arrangement when an introduced client engages that provider. The existence of that arrangement does not make Jeshra Tech Solutions a party to the client-provider agreement. Unless a separate written agreement with the client states otherwise, the client does not pay Jeshra Tech Solutions a separate introduction fee.
7. Website content is informational
This website describes service categories, a possible engagement process and general attributes of one or more delivery providers. Provider scale, experience, personnel, project and capability statements are presented as general partner information, are not a promise about the team or resources assigned to any particular project, and may change. Content is not a quotation, offer, technical specification, legal advice or commitment to supply services.
References to industries or service categories do not guarantee that a provider will accept an engagement or that a proposed solution is suitable for a particular client. Each client must evaluate the provider, proposal, security, privacy, regulatory and contractual requirements for its own circumstances.
8. Enquiries and proposals
Submitting an enquiry or attending a discovery discussion does not create a client relationship, delivery contract, confidentiality obligation or duty to introduce. Any proposal is indicative until the client and provider sign their direct written agreement. Prices, timelines and scope may change based on the provider’s assessment.
9. No warranties
To the maximum extent permitted by law, this website and Jeshra Tech Solutions’ introduction services are provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability or satisfactory quality.
10. Limitation of liability
To the maximum extent permitted by law, Jeshra LLC and Jeshra Tech Solutions will not be liable for any loss or damage arising from or relating to a provider’s services, proposal, contract, performance, data handling, security, support or business relationship with a client, or for any indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost revenue, lost data, business interruption or cost of substitute services.
To the extent any liability of Jeshra LLC cannot lawfully be excluded in connection with this website or an introduction, that liability is limited to the greater of USD 100 or the separate introduction fee, if any, actually paid by the claimant directly to Jeshra LLC for the specific introduction giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Third-party links and providers
This website may reference or link to independent providers or other third parties. We do not control and are not responsible for third-party websites, proposals, contracts, services, privacy practices or security practices. A reference or introduction is not an endorsement of every product, service or statement made by that provider.
12. Intellectual property
The Jeshra Tech Solutions name, logo, website design and original website content are owned by or licensed to Jeshra LLC. They may not be copied or used in a way that suggests Jeshra Tech Solutions provides provider-delivered services or is affiliated with a provider beyond the applicable referral arrangement. Provider names, products and materials, if referenced in a proposal or direct provider communication, belong to their respective owners.
13. Changes to these Terms
We may update these Terms from time to time by posting a revised version on this website. The revised Terms apply from the stated update date. These Terms do not amend any signed written agreement between a client and a provider.
14. Governing law and venue
These Terms and any dispute relating to this website or an introduction by Jeshra Tech Solutions are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. Subject to any mandatory right under applicable law, the state and federal courts located in New Jersey have exclusive jurisdiction and venue for such disputes.
